Please read these Terms of Service carefully before using our Services. By accessing or using Yardstone, you agree to be bound by these terms. If you do not agree, do not use our Services.

1. Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Yardstone, Inc ("Yardstone," "we," "us," or "our"), governing your access to and use of our website at yardstone.com and any related services, applications, or platforms (collectively, the "Services").

By creating an account, clicking "I agree," or otherwise accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.

2. Services

Yardstone provides a platform offering tools and features for yard and property management, including AI-powered insights, automation, and related services. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability. We will endeavor to provide reasonable advance notice of significant changes where practicable.

3. Eligibility

To use the Services, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding agreement;
  • Not be prohibited from using the Services under the laws of your jurisdiction; and
  • Not have had a prior account terminated by Yardstone for violation of these Terms.

By using our Services, you represent and warrant that you meet all eligibility requirements. If you are a parent or guardian allowing a minor to use the Services, you accept these Terms on their behalf and assume full responsibility for their use.

4. Accounts

Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for all activity that occurs under your account.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for restricting access to your account. You agree to notify us immediately at support@yardstone.com if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.

One account per user

You may not create more than one account without our prior written consent. We reserve the right to merge or terminate duplicate accounts at our discretion.

5. Acceptable use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services in any way that violates applicable local, state, national, or international laws or regulations;
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or any systems or networks connected to the Services;
  • Transmit any unsolicited or unauthorized advertising, spam, or other commercial communications;
  • Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
  • Scrape, crawl, or use any automated means to access or collect data from the Services without our express written permission;
  • Reverse engineer, decompile, or disassemble any portion of the Services; or
  • Use the Services to develop a competing product or service.

We reserve the right to investigate and take appropriate action against any violations of these acceptable use requirements, including removing content, suspending or terminating accounts, and reporting to law enforcement.

6. Intellectual property

Our rights

The Services and their entire contents, features, and functionality — including but not limited to all software, text, graphics, logos, icons, images, and data compilations — are owned by Yardstone, its licensors, or other providers, and are protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Services or our intellectual property.

Limited license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to resell or make commercial use of the Services or their contents.

Feedback

If you submit feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

7. User content

You retain ownership of any content, data, or materials you submit, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant Yardstone a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display your User Content solely to the extent necessary to provide and improve the Services.

You represent and warrant that:

  • You own or have the necessary rights to submit your User Content;
  • Your User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party; and
  • Your User Content complies with these Terms and all applicable laws.

We do not endorse or assume responsibility for any User Content. We reserve the right, but have no obligation, to monitor or remove User Content that we determine, in our sole discretion, violates these Terms.

8. AI features

Certain features of our Services are powered by artificial intelligence, including tools provided by Anthropic and Google Cloud AI. By using these AI-powered features, you acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, or not suitable for your specific needs. You are responsible for independently verifying any AI-generated content before relying on it;
  • You must comply with the terms and policies of our AI service providers when using AI-powered features;
  • You must not use AI features to generate content that is unlawful, harmful, misleading, or in violation of any third party's rights; and
  • Inputs you provide to AI features may be processed by third-party AI providers as described in our Privacy Policy.

We make no warranties regarding the accuracy, reliability, or fitness of AI-generated outputs for any particular purpose.

9. Fees and payment

Paid plans

Some features of the Services may require payment. If you elect to use a paid plan, you agree to pay all applicable fees as described at the time of purchase. All fees are stated in US dollars and are non-refundable except as expressly set out in these Terms or required by applicable law.

Billing

For subscription plans, fees are billed in advance on a recurring basis (monthly or annually, as selected). By providing payment information, you authorize us to charge the applicable fees to your payment method on each billing date until you cancel. You are responsible for keeping your payment information accurate and up to date.

Price changes

We reserve the right to change our fees at any time. We will provide at least 30 days' notice of any price increase. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.

Taxes

You are responsible for any taxes applicable to your use of the Services. Where required by law, we may collect and remit applicable taxes on your behalf.

10. Term and termination

Term

These Terms are effective from the date you first access or use the Services and remain in effect until terminated by either party.

Termination by you

You may terminate your account at any time by contacting us at support@yardstone.com or by using the account deletion option in your account settings. Termination does not entitle you to a refund of any prepaid fees.

Termination by us

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent or illegal activity, or prolonged account inactivity.

Effect of termination

Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and dispute resolution — will survive.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YARDSTONE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any information obtained through the Services will be accurate or reliable.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YARDSTONE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Yardstone and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your User Content;
  • Your use of the Services; or
  • Your violation of any third party's rights.

14. Governing law

These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

Subject to the dispute resolution provisions below, you consent to the exclusive jurisdiction of the state and federal courts located in King County, Washington for the resolution of any disputes not subject to arbitration.

15. Dispute resolution

Informal resolution

Before initiating any formal dispute proceeding, you agree to first contact us at support@yardstone.com and attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days of receiving your notice.

Binding arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Seattle, Washington, or remotely if mutually agreed. The arbitrator's decision shall be final and binding.

Class action waiver

You agree that any arbitration or legal proceeding shall be conducted solely on an individual basis. You waive the right to participate in class, collective, or representative actions. This waiver is an essential part of this agreement and may not be severed from the arbitration provision.

Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent harm, pending arbitration. Claims for relief that may be brought in small claims court are also exempt from arbitration.

16. Changes to these terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will provide at least 30 days' notice by email or by posting a prominent notice in the Services.

Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and close your account.
